Governing Board
STATEMENT OF PURPOSE
The Washington Avenue Business Improvement District works to strengthen and improve the Washington Avenue corridor by representing and advocating for its property owners and businesses; supporting economic development; promoting the district; improving the visitor and pedestrian experience; encouraging arts, culture, entertainment, and community engagement; and advancing transformative projects that increase commercial and cultural activity.
WAVE seeks to foster a diverse, vibrant, pedestrian-friendly, mixed-use neighborhood and promote cooperation and high standards among its members.

Introductory statement
The Washington Avenue Business Improvement District, also known as WAVE, is an independent special district established by the City of Miami Beach to provide enhanced services, programs, marketing, advocacy, beautification, economic-development initiatives, and community activations within the Washington Avenue corridor.
WAVE operates through a governing Board of Directors in accordance with its Articles of Incorporation, Bylaws, Memorandum of Understanding with the City of Miami Beach, Chapter 189 of the Florida Statutes, Florida’s Government-in-the-Sunshine Law, and applicable public-records requirements.
Governing Board
The Bylaws authorize:

Nine voting Directors

Up to four nonvoting ex-officio Directors

At least seven voting Directors who are BID Members or authorized property-owner representatives

Up to two voting Directors who are ground-floor retail tenants, restaurant operators, or authorized tenant representatives
Voting Directors are elected by eligible BID Members in accordance with the election procedures contained in the Bylaws. Vacancies may be filled temporarily by a majority vote of the Board until the next Annual Meeting.
Director Terms
Voting Directors serve staggered three-year terms.
A Director may serve up to two consecutive three-year terms, for a total of six consecutive years, unless the term limitation is waived by the Executive Committee as permitted by the Bylaws.
A Director continues serving until a successor is elected and qualified, or until the Director resigns, is removed, dies, or otherwise becomes ineligible under the governing documents.

Officers are selected by the Board in accordance with the Bylaws. They serve for one year or until their successors are duly elected and qualified.

The City’s authorized representative, serving as a nonvoting ex-officio member
Voting Executive Committee members must be property owners within the District or principal owners of entities that own property within the District.
Current Board Status
Because WAVE is reviewing its Board roster, terms, vacancies, and election records, use this temporary disclosure:
The Washington Avenue BID is currently reviewing and updating its governing Board records and conducting the Director-election process required by its Bylaws. Current confirmed positions, vacancies, terms, and appointing authorities will be updated as the process is completed. Historical Board records remain available upon request.
Election-status statement
2026 Governance and Election Update: The Washington Avenue Business Improvement District is currently completing its director nomination and election process in accordance with its bylaws. The Nominating Committee is being properly constituted, candidate eligibility is being reviewed, and the election process will be completed and documented. The governing-board information on this page will be updated when the election results are certified and officers are elected by the Board.
